VenueIQ is operated by MUSICMIX ENTERTAINMENT CANADA (“MusicMix”, “we”, “us”, or “our”), based in Niagara Falls, Ontario, Canada. VenueIQ provides predictive booking intelligence for the Canadian live music industry. Our platform aggregates data from multiple sources to generate artist-venue fit scores, market demand analysis, and deal structure recommendations for promoters, booking agents, band managers, and venue programmers operating in Canada. By creating an account or using the platform, you agree to be bound by these Terms.
You must be at least 18 years of age to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
You agree not to scrape, crawl, or programmatically extract data from the platform. You may not share your login credentials with others or allow multiple individuals to access the service under a single account. You may not attempt to circumvent any access controls, rate limits, or security measures implemented by VenueIQ. You may not use the platform to violate any law, infringe any third-party rights, or transmit malicious code.
Paid subscriptions are processed via Stripe. All prices are listed in Canadian dollars (CAD). Subscriptions auto-renew at the end of each billing period unless cancelled. You are responsible for ensuring your payment method is current and valid. Where applicable, taxes (including HST) will be applied in accordance with Canadian tax law.
You may cancel your subscription at any time from your account settings or via the Stripe billing portal. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds are provided for partial billing periods. Cancellations take effect at the end of the period in which the cancellation is requested.
Your use of VenueIQ is also governed by our Privacy Policy, which describes how we collect, use, retain, and protect your personal information. Please refer to the Privacy Policy tab for details. Your continued use of the platform constitutes acceptance of both these Terms and our Privacy Policy.
MusicMix Entertainment Canada and its licensors retain all rights, title, and interest in the platform, including all software, algorithms, predictive models, designs, branding, and documentation. You retain ownership of any data you input into the platform, including your show records, artist rosters, and internal notes; you grant us a non-exclusive, worldwide licence to use such data solely for the purposes of operating, improving, and supporting the platform on your behalf.
VenueIQ is provided on an “as-is” and “as-available” basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, MusicMix Entertainment Canada disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, security, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or secure, or that any predictions, scores, recommendations, or third-party data presented through the platform will be accurate, complete, or suitable for any particular booking decision.
Predictions and analytics produced by VenueIQ are advisory in nature and do not constitute guarantees of ticket sales, attendance, revenue, or any particular booking outcome. You acknowledge that live event performance depends on many factors outside our reasonable control, and you assume full responsibility for any business decisions made on the basis of information obtained from the platform.
To the maximum extent permitted by applicable law, in no event shall MUSICMIX ENTERTAINMENT CANADA, its directors, officers, employees, contractors, affiliates, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages— including but not limited to loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, loss of data, loss of bookings, business interruption, or substitute service costs — arising from or related to your use of (or inability to use) the platform, even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose.
Our aggregate liability for any direct damages arising from or related to these Terms or your use of the platform shall not exceed the greater of (a) the total amount you have paid to MusicMix Entertainment Canada in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).
VenueIQ depends on third-party services for hosting, payments, AI processing, geocoding, and live music data — including but not limited to Supabase, Stripe, Vercel, Anthropic, Google (YouTube, Places, Trends), OpenStreetMap / Nominatim, Last.fm, Setlist.fm, Ticketmaster, Bandsintown, MusicBrainz, and SerpApi. These providers operate independently of MusicMix Entertainment Canada. We are not responsible for the availability, accuracy, security, or performance of any third-party service, and we shall not be liable for any damages, losses, downtime, data loss, security incidents, or service interruptions originating from such third parties.Your use of any third-party service accessed through VenueIQ may also be subject to that provider's own terms of service and privacy policy.
We employ commercially reasonable administrative, technical, and physical safeguards to protect the platform and your data, including encryption in transit and at rest, role-based access controls, and routine security review. However, no internet-based service can be guaranteed to be entirely secure. You acknowledge and agree that:
In the event of a breach of security safeguards involving the personal information of Canadian users, we will provide notice to affected users and to the Office of the Privacy Commissioner of Canada in accordance with our obligations under the Personal Information Protection and Electronic Documents Act (PIPEDA) and any other applicable privacy laws.
You are solely responsible for retaining your own backups of any data you create, upload, or generate within the platform, including show records, artist rosters, deal calculator entries, offer letter content, and internal notes. While we maintain operational backups for our own infrastructure purposes, we do not guarantee the recoverability of any specific data, and MusicMix Entertainment Canada shall not be liable for any loss, corruption, deletion, or unavailability of data stored on or transmitted through the platform.
You agree to indemnify, defend, and hold harmless MUSICMIX ENTERTAINMENT CANADA and its directors, officers, employees, contractors, agents, affiliates, and licensors from and against any and all claims, demands, liabilities, losses, damages, costs, and expenses (including reasonable legal fees and disbursements on a solicitor-and-client basis) arising from or related to: (a) your use of the platform; (b) your breach or alleged breach of these Terms; (c) your violation of any law or the rights of any third party; (d) any content, contact information, or data you submit, upload, or share through the platform; or (e) any activity conducted under your account, whether or not authorized by you.
MusicMix Entertainment Canada shall not be liable for any failure or delay in performance of these Terms arising from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, government action, labour disputes, internet or telecommunications outages, cyberattacks, pandemics, or failures of third-party infrastructure or services on which we rely.
We may suspend or terminate your account at our discretion, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or created risk or possible legal exposure for MusicMix Entertainment Canada or other users. Upon termination, your right to use the platform ceases immediately. The provisions of these Terms that by their nature should survive termination — including Sections 7 (Intellectual Property), 8 through 14 (Disclaimers, Limitation of Liability, Third-Party Services, Security, Data Loss, Indemnification, Force Majeure), and 16 through 18 (Severability, Governing Law, Changes) — shall survive.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid provision shall be replaced with a valid provision that most closely reflects the original intent. These Terms, together with our Privacy Policy, constitute the entire agreement between you and MusicMix Entertainment Canada with respect to your use of VenueIQ and supersede any prior or contemporaneous agreements, communications, or understandings.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of VenueIQ shall be brought exclusively in the courts of the Province of Ontario sitting in the Regional Municipality of Niagara, and you irrevocably submit to the personal jurisdiction of those courts.
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least fourteen (14) days before they take effect. Your continued use of VenueIQ after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the platform and may cancel your subscription.
